The Services

When we say “Services,” we mean TradeFlowPro, including the website at https://tradeflowpro.app, related subdomains, and our web and mobile software that helps trade contractors manage work such as customers, jobs, quotes, and invoicing, along with any related support or documentation we provide or link to from the product.

“You” means the person or business entity that registered for an account. If you use the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.

Accounts and security

You are responsible for the security of your account credentials and for any activity under your account, including that of your invited users, if you use team features. You must use the Services in compliance with applicable law and not misuse or attempt to gain unauthorized access to the Services or our systems. We may suspend or terminate access if we reasonably believe you have violated these Terms or the rights of others.

Subscriptions, fees, and taxes

If you sign up for a paid plan, you agree to the fees, billing cycle, and payment method shown at checkout or in the product, processed by our payment partners. Unless we say otherwise, fees are exclusive of applicable taxes, which you are responsible for where required. We may change our pricing with reasonable notice; changes apply to the next billing period unless stated otherwise at the time of the change.

Your content

You retain ownership of the business data and content you add to the Services. You grant us a limited license to host, back up, process, and display that content as needed to run and improve the Services for you. We do not use your private business content to train public AI models. You are responsible for having the right to provide any data you enter into the Services.

Our intellectual property

The Services, including software, design, and branding, are owned by the Company and its licensors. You receive a non-exclusive, non-transferable, revocable right to use the Services during your subscription, subject to these Terms. You may not copy, decompile, resell, or publicly scrape the Services in ways that are not allowed by us in writing, except to the extent permitted by law. Requests to use our trademarks or logo may be sent to matt@tradeflowpro.app.

Disclaimers

The Services are provided “as is” and “as available.” We disclaim warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or that results from using the tool will meet your business or legal needs (for example, tax or contract advice).

Limitation of liability

To the maximum extent permitted by law, the Company and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, goodwill, or data, arising from your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability for all claims related to the Services in any rolling twelve-month period is limited to the amount you paid us for the Services in that period (or, if the Services were free, fifty U.S. dollars). Some jurisdictions do not allow these limitations; in those cases, our liability is limited to the minimum permitted by law.

Indemnity

You will defend and indemnify the Company against any third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

Privacy

Our Privacy Policy explains how we collect, use, and protect personal data. The Privacy Policy is incorporated by reference into these Terms.

Changes

We may change these Terms from time to time. We will post the updated Terms on this page. If a change is material, we will provide additional notice (for example, by email or in the product) where appropriate. Your continued use of the Services after the effective date of the new Terms means you accept the changes. If you do not agree, you must stop using the Services and may cancel your account as described in the product or by contacting us.

Governing law and venue

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules. You agree to bring disputes related to the Services in the state or federal courts located in Minnesota, and you consent to personal jurisdiction there, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
